Mormak Equipment Inc. (“Mormak, “we”, “us” or “our”) respects your privacy and we are committed to protecting it by complying with this privacy policy (this “Policy”). This Policy describes the personal information that we collect from or about you when you access or use Mormak’s website at mormak.com and all related webpages (collectively, the “Site”), how we use that information, and to whom we disclose it. “Personal information” means information about an identifiable individual.
1. Policy Acceptance
Please read this Policy carefully. If you do not agree with this Policy, you should not access or use the Site. This Policy should be read in conjunction with the Mormak Terms and Conditions, accessible at mormak.com/terms-and-conditions/, as both the Policy and the Terms and Conditions govern use of and access to the Site. By accessing or using the Site, you indicate that you understand, accept, and consent to the practices described in this Policy.
We may modify this Policy from time to time. We will provide you with notice of any material changes to this Policy by publishing the changes through the Site so that you may review the changes before continuing to use the Site. Your continued use of the Site after we publish or communicate a notice about any changes to this Policy means that you accept and are consenting to the changes, so please check the policy periodically for updates. We include the date the Policy was last revised at the top of this page. Certain provisions of this Policy may be superseded by expressly designated legal notices or terms located on particular pages of the Site.
If you are using the Site on behalf of any person, you confirm that you are legally authorized to accept the terms and conditions of this Policy on such person’s behalf.
The Site is not intended for any person under the age of majority (see below re: Minors. 2. Accountability and Openness / Compliance
Mormak is responsible for personal information under our control. We have established policies and procedures to effectively safeguard any confidential personal information that we collect, and to deal with complaints and inquiries. We are committed to maintaining the accuracy, confidentiality and security of your personal information, and we will ensure that you have access to information regarding the policies and procedures that we use to manage your personal information.
Mormak has designated a privacy officer (“Privacy Officer”) who is accountable for our compliance with this Policy, and for ensuring that information about our policies and practices relating to the management of personal information is easily accessible.

If there is a dispute regarding your personal information or this Policy, you agree to use reasonable efforts to resolve such dispute with us informally and to consult and negotiate with us in good faith to reach a fair and equitable solution. Every complaint or challenge regarding our compliance with this Policy will be investigated, and where a deficiency is found to exist, we will take appropriate measures to address it. This may include amending our policies and procedures as necessary.
If the dispute is not resolved through an informal process within 30 days, either you or we may consult the relevant provincial or federal privacy commissioner.
We will cooperate with regulatory authorities to resolve any complaints that cannot be resolved between us and you. 3. Consent
Except as expressly provided in this Policy or as otherwise permitted by law, consent is required for the collection of personal information and the subsequent use or disclosure of that information. Consent may be express or implied. For consent to be meaningful, it must be informed consent and will only be valid if it is reasonable to expect that the individual understands the nature, purpose and consequences of the collection, use or disclosure of the personal information to which they are consenting. Typically, we will seek consent in advance or at the time of collection, and make reasonable efforts to ensure that you understand the purpose(s) for which we will use or disclose the information. In certain circumstances, we may seek consent regarding use or disclosure after the information has been collected, but before use, such as when we wish to use personal information already in our possession for a purpose that was not previously identified.
By voluntarily submitting your personal information or otherwise using the Site, you signify your agreement to the terms and conditions of this Policy and to our collection, use and disclosure of your personal information as set out herein
4. Collection and Retention of Information
We collect Personal Information only to the extent that it is necessary for the purposes set out below (see below re: Purpose – Why We Collect, Use and Disclose Information). We collect information about you through direct interactions with you when you provide it to us, for example, by filling in forms or corresponding with us, and through automated technologies or interactions when you use the Site, for example, usage details, IP addresses, and information collected through cookies and other tracking technologies.
Subject to any legal or accounting requirements, we will retain personal information only as long as necessary to fulfill the purposes for which it was collected. Personal information that is no longer required will be destroyed, erased or made anonymous, although copies of deleted information may continue to exist on back-up media.
Information that we may collect includes:
(a) User Submitted Information
We collect personal information that users voluntarily submit through the Site, such as contact information provided by a user to register for a newsletter or request information about Mormak products or services, paying online for products or services purchased from us, requesting further services, entering a contest or promotion sponsored or initiated by us, or corresponding with us by phone, mobile device, email, or otherwise. We also collect information directly from you by records and copies of your correspondence (including email addresses), your responses to surveys that we might ask you complete for research purposes, and details of invoice payments you complete through our Site or otherwise.
(b) Technical and Device Information
We collect certain non-identifying information related to each user’s access of the Site, including the Internet Protocol (IP) address of the user’s computer, the date and time the user accessed the Site, and the operating system that the user is using. We make no attempt to link this information
with the identity of individuals visiting our Site without express permission. We may, however, review server logs and anonymous traffic for system administration and security purposes, for example to detect intrusions into our network, for planning and improving web services, and to monitor and compile statistics about website usage. The possibility therefore exists that server log data, which contains users’ IP addresses, could in instances of criminal malfeasance be used to trace and identify individuals. In such instances, we may share raw data logs with the appropriate authorities for the purpose of investigating security breaches.
(c) Cookies and Web Beacons
The technologies we use for automatic data collection may include cookies and web beacons, and such collection helps us to improve the Site and to deliver a better and more personalized service, including by enabling us to: estimate our audience size and usage patterns; store information about your preferences, allowing us to customize the Site according to your individual interests; speed up your searches; and recognize you when you return to the Site.
A “cookie” is a small file placed on the hard drive of your computer. You may refuse to accept browser cookies by activating the appropriate setting on your browser; however, if you select this setting, you may be unable to access certain parts of our Site and/or certain features and functions may be affected. Unless you have adjusted your browser setting so that it will refuse cookies, our system will issue cookies when you direct your browser to our Site. Certain features of our Site may use local stored objects (or Flash cookies) to collect and store information about your preferences and navigation to, from, and on our Site. Flash cookies are not managed by the same browser settings that are used for browser cookies. A cookie cannot run any programs, deliver any viruses, or send back information about your system.
Pages of the Site may contain small electronic files known as “web beacons” (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit us, for example, to count users who have visited those pages and for other related app or website statistics (for example, recording the popularity of certain website or app content and verifying system and server integrity).
We may also use these technologies to collect information about your activities over time and across third-party websites, apps or other online services (behavioural tracking). Some content or applications on the Site may be served by third parties, including content providers, and application providers. These third parties may use cookies alone or in conjunction with web beacons or other tracking technologies to collect information about you when you use our Site. The information they collect may be associated with your personal information or they may collect information, including personal information, about your online activities over time and across different websites and other online services. They may use this information to provide you with interest-based (behavioural) advertising or other targeted content.
We do not control these third parties’ tracking technologies or how they use them. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly.
5. Purpose – Why We Collect, Use and Disclose Information
We will identify the purposes for which we collect personal information before or at the time we request the information. We will not collect personal information which is not necessary and, except as specified below, will not use or disclose personal information for any purpose other than the purpose(s) for which it was collected without first obtaining your consent.
The information that we collect about you or that you provide to us is used and disclosed only for business purposes. These include:
• to enable you to access and use the Site;
• to process, track and communicate with you about usage of the Site;
• to establish, maintain and manage business relations with you so that we may provide you with the information, products or services that you request;
• internal business purposes, such as administering or improving the Site;
• to perform internal market research and conduct polls and surveys;
• to obtain feedback regarding the Site;
• to allow you to participate in interactive features, social media, or similar features on the Site;
• to send you newsletters, messages about our new features, special offers, promotional announcements, consumer surveys and other correspondence concerning Mormak and our products and services;
• to protect us against error, fraud, theft or damage to our business or our property;
• to carry out our obligations and enforce our rights arising from any contracts with you, including for billing and collection;
• to comply with any legal, accounting and regulatory requirements, including reporting requirements, applicable laws, and any search warrants, subpoenas or court orders; and
• any other reasonable purpose for which you provide consent.
Where personal information that has been collected is to be used for a purpose not previously identified, and for which consent cannot be reasonably implied, the new purpose will be identified and consent obtained prior to the use of that information for the new purpose unless otherwise permitted by law.
We may use your information to contact you about our own goods and services that may be of interest to you, as permitted by law. If you do not want us to use your information in this way, please use the unsubscribe mechanism at the bottom of our emails, text “stop”, “end” or “unsubscribe” in reply to any mobile message from us, or email us at info@mormak.com. You understand and agree that any other method of opting out, including, but not limited to, texting words other than those set forth above or verbally requesting one of our employees to remove you from our list, is not a reasonable means of requesting us to stop using your information in the ways described above.
6. Disclosure of Your Information
We may disclose personal information that we collect or you provide as described in this Policy:
• To contractors, service providers, and other third parties we use to support our business (such as analytics and search engine providers that assist us with improvement and optimization of the Site, payment processors, delivery and logistics providers, and social network integrators) and who are contractually obligated to keep personal information confidential, use it only for the purposes for which we disclose it to them, and to process the personal information with the same standards set out in this policy. . If we transfer any personal information to a third-party subcontractor, we will provide the subcontractors only with the information needed to perform the subcontracted service, and will use appropriate contractual or other means to provide a comparable level of protection while the information is being used by them.
• To fulfill the purpose for which you provide it.
• For any other purpose disclosed by us when you provide the information. • With your consent.
We may also disclose your personal information:
• To comply with any court order, law, or legal process, including to respond to any government or regulatory request, in accordance with applicable law. In response to a request by law enforcement or other government officials relating to a criminal investigation or alleged illegal activity, or other activity that may expose us or you to legal liability, Mormak can (and you authorize Mormak to) disclose your personal information and other information about you as Mormak, in its sole discretion, believes necessary or appropriate.
• To enforce or apply our Terms and Conditions (available at mormak.com/terms-and conditions) and other agreements, including for billing purposes.
• If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Mormak, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection, intellectual property rights protection, and credit risk reduction
• In accordance with applicable law, to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Mormak’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by Mormak about our customers and users is among the assets transferred. In any case of a potential sale, we and the other part(ies) to the transaction or proposed transaction will enter into an agreement limiting the purposes for which the personal information may be used and disclosed, ensuring its protection by means appropriate to the sensitivity of the information, and providing for the return or destruction of the information if the transaction does not proceed, or if the transaction does proceed, to notify you within a reasonable time that your personal information has been disclosed.
We may disclose aggregated information about our users, and information that does not identify any individual, without restriction.
7. Safeguards – How Information is Protected
The security of personal information is important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. All safety and security measures are appropriate to the sensitivity level of the information collected. Any payment transactions will be encrypted using SSL technology. Some of the other measures we use include: user IDs, passwords and encryption technology, and restricting the employees and contractors who have access to personal information to those having a “need to know” and who are bound by confidentiality obligations in order to ensure that information is handled and stored in a confidential and secure manner.
Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to the Site or to us. Any transmission of personal information is at your own risk. Therefore, by using the Site and/or communicating electronically with us, you acknowledge and agree to our processing of personal information in this way and agree that we are not responsible for any personal information which is lost, or which is altered, intercepted or stored by a third party without authorization. Further, we are not responsible for circumvention of any privacy settings or security measures contained on the Site. Mormak shall not be liable for the transfer of any personal information resulting from loss or distribution of data, the corruption of storage media, power failures, natural phenomena, riots, acts of vandalism, sabotage, terrorism or any other event beyond our control.
The Site may contain links to other websites that are not necessarily under our control. Mormak is not responsible for the privacy practices of such other websites and encourages you to be aware when you leave the Site and to read the privacy policies of each and every web site and mobile app that collects personally identifiable information.
Except as otherwise permitted or required by applicable law or regulation, we will only retain your personal information for as long as necessary to fulfill the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements. When destroying personal information, we delete electronically stored personal information and shred any tangible materials containing personal information. While we will endeavour to destroy all copies of
personal information, you acknowledge that deleted information may continue to exist on back-up media but will not be used unless permitted by law. Under some circumstances we may anonymize your personal information so that it can no longer be associated with you. We reserve the right to use such anonymous and de-identified data for any legitimate business purpose without further notice to you or your consent.
8. Privacy Breach Response
The security of your personal information is important to us; please advise our Privacy Officer immediately (at info@mormak.com) of any incident involving the loss or unauthorized access to or disclosure of personal information that is in our custody or control.
Employees of Mormak are required to immediately report any breach of privacy, or suspected breach of privacy, to Mormak’s Privacy Officer. A breach of privacy includes unauthorized external or internal access to our physical records or electronic records, misdirected communications, including mail and electronic communications, and the loss or theft of physical records or electronic records stored on data storage devices.
Our Privacy Officer will coordinate a review of the matter and investigate all reported privacy breaches or suspected privacy breaches. Where a privacy breach has occurred, we may notify the affected individuals and may report the breach to the relevant privacy commissioner or to the appropriate authorities, including law enforcement.
9. Accuracy of and Access to Your Personal Information
It is important that the personal information we hold about you is accurate and current. If your personal information changes (such as address or payment information), please keep us informed and notify us immediately if your personal information changes or if you wish to have your personal information removed from our files. By law you have the right to request access to and to correct the personal information that we hold about you. Mormak has a responsibility to ensure that all personal information contained in our records or which is disclosed to third parties for the purposes described above is accurate, complete and up -to-date.
If you want to review, verify, correct, or withdraw consent to the use of your personal information you can contact us in writing and direct your request to our Privacy Officer at info@mormak.com to have access to, correct, or delete any personal information that you have provided to us. We may request specific information from you to help us confirm your identity and your right to access, and to provide you with the personal information that we hold about you or make your requested changes. Applicable law may allow or require us to refuse to provide you with access to some or all of the personal information that we hold about you; examples of such exceptions include: information protected by solicitor-client privilege; information that is part of a formal dispute resolution process; information that is about another individual that would reveal their personal information or confidential commercial information; and information that is prohibitively expensive to provide. We may have destroyed, erased, or made your personal information anonymous in accordance with our record retention obligations and practices. If we cannot provide you with access to your personal information, we will inform you of the reasons why, subject to any legal or regulatory restrictions.

Where you have provided your consent to the collection, use, and transfer of your personal information, you may have the legal right to withdraw your consent under certain circumstances. To withdraw your consent, if applicable, contact us at info@mormak.com. Please note that if you withdraw your consent we may not be able to provide you with a particular product or service. We will explain the impact to you at the time to help you with your decision.
10. International Transfer and Storage of Information
You acknowledge and agree that your personal information may be transmitted, transferred, processed , and/or stored outside of Canada, including in the United States, and therefore may be available to or subject to access by governmental authorities under lawful orders and laws applicable in such jurisdictions. We will use reasonable efforts to ensure that your personal information is protected, but we cannot ensure that the laws of any foreign jurisdiction will accord the same degree of protection as the laws of Canada. By submitting personal information to us, you hereby consent to the transmission, processing and/or storage of personal information outside of Canada.
11. Third Party Content and Links to other Websites
The Site may contain links to third-party Internet websites, plug-ins, services, social networks or applications. Clicking on those links or enabling those connections may allow the third party to collect or share data about you and you acknowledge that these third parties may collect data from you or your devices and computers. If you follow a link to a third-party website, network or application, or engage a third-party plugin, please note that these third parties have their own privacy policies. The accessing and use of third-party websites, networks, applications, plug-ins or services is at your own risk, and we cannot assume responsibility for the privacy practices, policies or actions of the third parties who operate, or the content on, those websites, networks, applications, plug-ins or services. This Policy applies only to the Site and does not apply to data processed and/or collected exclusively by third parties. We have no influence over the policies and procedures of such third parties, and we encourage you to review the privacy policy of every third party website, platform, network, application, plug-in or service you visit or use.
12. Minors
Minors (persons under the age of majority as defined in your jurisdiction) are not eligible to use the Site unsupervised, and no minor should provide or any information to us, on the Site or through any of the features of the Site. If you are under the age of majority in your jurisdiction, you may only use
the Site in conjunction with and under the supervision of a parent or guardian and do not provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. Mormak does not knowingly collect personal information from minors. If we learn we have collected or received personal information from a minor without verification of parental consent, we will delete that information.
